1. Acceptance of Terms

By accessing or using Document Repository ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms are governed by the laws of Australia.

2. Description of Service

Document Repository is a web-based platform that allows individuals and teams to create, manage, and collaborate on structured documents. Features and functionality may change over time. We will give reasonable notice of material changes.

3. Account Responsibilities

  • You must provide accurate information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old, or have parental consent, to use the Service.
  • Notify us immediately at [email protected] if you suspect unauthorised access to your account.

4. Subscription and Billing

Paid plans are billed on a recurring basis (monthly or annually) via Stripe. By subscribing, you authorise us to charge your payment method at the start of each billing period.

  • Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by Australian Consumer Law.
  • Price changes: We will provide at least 30 days' notice of any price increase.
  • Failed payments: If payment fails, we may suspend access to the Service until payment is resolved.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable Australian or international law or regulation.
  • Upload or transmit unlawful, harmful, defamatory, or infringing content.
  • Attempt to gain unauthorised access to the Service or other users' data.
  • Reverse-engineer, decompile, or create derivative works from the Service.
  • Use the Service in a manner that could damage, disable, or impair its availability.

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

Our IP: The Service, including its software, design, and content (excluding your data), is owned by Document Repository and protected by Australian and international intellectual property laws.

Your content: You retain ownership of all documents and data you create using the Service. By using the Service, you grant us a limited licence to store, process, and display your content solely to provide the Service to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We take reasonable steps to protect your data but cannot guarantee absolute security. In the event of a data breach affecting your information, we will notify you as required by the Privacy Act 1988 (Cth).

8. Limitation of Liability

To the maximum extent permitted by law, Document Repository's total liability to you for any claim arising from use of the Service is limited to the amounts you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential loss (including loss of data, revenue, or profits) arising from your use of the Service.

Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under the Competition and Consumer Act 2010 (Cth) or other applicable Australian legislation. Where such guarantees apply, our liability is limited to re-supplying the relevant service or paying the cost of re-supply, at our discretion.

9. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably believe your use poses a risk to us or other users. We will provide reasonable notice where practicable. Upon termination, you may request an export of your data within 30 days.

10. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Australia. You agree to submit to the exclusive jurisdiction of the courts of Australia for any disputes arising from these Terms or your use of the Service.
